* "Agreement" means any contract, proposal, invoice, or signed MOU between SoftPulse and the Client.
2. Software Licensing & Usage
* All software products are licensed, not sold. Usage is bound by the license terms provided at the time of purchase.
* Clients are prohibited from reselling, modifying, reverse-engineering, or redistributing licensed software unless expressly authorized.
* Third-party software resold or integrated by SoftPulse (e.g., EnCase, FTK, Cellebrite, SAP, Oracle) is subject to the licensing terms of the respective vendors.
* Custom software developed by SoftPulse remains SoftPulse’s intellectual property unless otherwise specified in writing.

3. Consulting & Development Services
* Consulting services are billed per hour, per phase, or per milestone, as outlined in the project agreement or proposal.
* Software development timelines, delivery dates, and testing phases are provided in advance and are subject to mutual agreement.
* Any delays caused by the Client (e.g., delayed feedback, incomplete data, or access) may extend project delivery dates.

4. Payment Terms
* All payments must be made to the official company bank account unless otherwise instructed in writing.
* Project-based work may require advance payments or milestone payments as defined in the signed contract or invoice.
* Late payments are subject to a **2% monthly interest charge** on outstanding balances.
* Invoices unpaid after 30 days may result in service suspension or legal recovery measures.

5. Refund Policy
* Refunds are applicable only under predefined service-level agreements (SLAs) or failure to deliver agreed functionality.
* No refunds will be issued for:
* Delivered and activated software licenses
* Third-party tools purchased on behalf of the Client
* Custom software once delivered unless explicitly agreed
* Refunds (if applicable) will be processed within **14 business days** from approval.

6. Delivery Policy
* Software: Delivered via secure portals or email within the agreed time frame.
* Hardware: Shipped through registered couriers with tracking; Client is responsible for customs and local taxes.
* Delays due to external factors (e.g., customs, force majeure, political unrest) are not the liability of SoftPulse.

7. Client Responsibilities
Clients agree to:
* Provide accurate business, billing, and contact details.
* Maintain security of user accounts, passwords, and license keys.
* Comply with all applicable local and international laws while using our services and software.
* Not engage in any fraudulent or unauthorized activity that violates platform integrity or license agreements.

8. Intellectual Property Rights
* All trademarks, trade names, logos, service marks, and software code remain the exclusive property of SoftPulse unless otherwise assigned via contract.
* Unauthorized use of any of our IP is strictly prohibited and enforceable under Pakistani and international law.

9. Confidentiality
Both parties agree to treat all shared business, technical, or financial information as confidential unless such information is publicly available or disclosed by legal requirement.

10. Limitation of Liability
* SoftPulse shall not be liable for any indirect, incidental, or consequential damages resulting from:
* Software malfunction due to third-party integration
* Delay in service delivery
* Unauthorized access due to user negligence
* Our total liability is limited to the amount paid by the Client for the specific service or product in question.

11. Termination of Services
SoftPulse reserves the right to suspend or terminate services:
* Upon breach of contract by the Client
* For misuse of software or system
* Upon mutual agreement or project closure
All outstanding dues become immediately payable upon termination.

12. Force Majeure
SoftPulse shall not be held liable for failure to perform obligations due to causes beyond our reasonable control, including but not limited to acts of God, war, natural disasters, or government restrictions.

13. Jurisdiction & Dispute Resolution
* Any disputes shall first be attempted to be resolved through mutual negotiation.
* If unresolved, the matter shall be submitted to arbitration in **Lahore, Pakistan** under the **Arbitration Act 1940** or applicable Pakistani commercial law.
* For international Clients, alternative jurisdictions may be considered upon mutual agreement.
